Senior Corporate Counsel

Ingevity is seeking a Senior Corporate Counsel to join its Law & Compliance Department and serve as a strategic, businessfocused legal partner to a dynamic, global organization. This role is ideal for an experienced commercial attorney who enjoys working close to the business, navigating complex legal matters across jurisdictions, and delivering practical guidance that enables growth while managing risk. The successful candidate will play a key role in supporting Ingevity's commercial activities, strengthening legal frameworks, and advancing the company's intellectual property strategy worldwide.

How You Will Impact Ingevity

The successful candidate will partner closely with complex business units across multiple geographic regions, including the United States, Europe, Asia, and South America. The role requires a proven ability to build strong, trusted relationships with senior internal stakeholders and to deliver practical, business-oriented legal solutions that support Ingevity's strategic objectives.

The Senior Corporate Counsel will support the Law & Compliance Department by:

  • Providing day-to-day legal advice to Ingevity's business segments on a broad range of legal, business, and regulatory matters, and designing, implementing, and managing internal procedures and controls to ensure consistent and effective oversight across the business.

  • Drafting, negotiating, and reviewing a wide variety of commercial contracts, ranging from complex, multijurisdictional agreements to standard commercial arrangements, typically managing matters from initial structuring through execution.

  • Advising Ingevity's businesses on the development, implementation, and execution of the company's global intellectual property strategy.

  • Monitoring and managing Ingevity's intellectual property portfolio, including coordinating and overseeing external intellectual property counsel and managing related costs.

This position requires a highly "handson" approach, with primary responsibility for directly managing legal matters and engaging external counsel as appropriate (for example, for nonU.S. jurisdictions, specialized subject matter, or complex documentation).

What You Need to Succeed

  • J.D. from an ABAaccredited law school and an active license to practice law; excellent academic credentials strongly preferred.

  • A minimum of eight years of commercial law experience, including a combination of law firm experience (preferably with an Am Law 100 or comparable firm) and inhouse counsel practice.

  • Exceptional judgment, strong analytical and problemsolving skills, and the ability to independently drive practical solutions.

  • Excellent written and verbal communication skills, with a demonstrated ability to translate complex legal issues into clear, actionable business guidance.

  • Familiarity with U.S. and international laws, commercial practices, and trade terms, including competition laws, antibribery laws, trade controls, Incoterms, and freight and transportation matters.

  • Demonstrated ability to draft and negotiate a broad range of commercial agreements, including supply and vendor agreements, services agreements, equipment purchase agreements, contract manufacturing agreements, sales agency and distribution agreements, license agreements, joint development agreements, term sheets, and letters of intent.

  • Experience with intellectual property protection, portfolio management, and oversight.

  • Willingness to travel occasionally (less than 10% of the time) to other offices and manufacturing facilities, typically with advance notice.
