Job Summary

Reporting to the SVP of Legal, Compliance & Risk Management, the Corporate Counsel will provide legal support to and will partner closely with the Commercial, Portfolio and Operations Departments to draft and negotiate Master Lease Agreements, Riders, Amendments and third-party agreements while ensuring the company's interests are protected and aligned with AITX's business objectives.

Job Duties

  • Draft and negotiate a variety of commercial agreements including, but not limited to, Master Lease Agreements, Riders, Amendments, third-party agreements, RFP's, Letters of Intent, Confidentiality Agreements, Licensing Agreements, etc.
  • Responsible for performing redlines to and negotiation of all legal documents.
  • Reviews work performed by the Contract Specialists.
  • Conduct legal research in various areas of the law, relevant industry laws, rules and regulations.
  • Provide support to the Sr. Directors of Legal, Compliance and Risk Management with insurance claims/loss incidents related to damage, product liability, accidents, and workers' compensation.
  • Other duties and responsibilities related to the Legal Department.

Experience, Job Requirements and Education

  • Juris Doctor degree from an accredited law school and admission to and in good standing with the Illinois bar.
  • Two (2) to four (4) years' experience with a focus on contract drafting, review and negotiation.
  • In-house Counsel, Transportation or Rail Fleet sector experience preferred but not required.
  • Self-motivator with demonstrated experience with attention to detail, written and oral communication, organization, multi-tasking, working in a team atmosphere and adhering to tight deadlines.
  • Strong analytical, critical thinking, and legal research skills.
  • Strategic thinker with the ability to balance legal and business considerations.
  • Desire to gain in-depth knowledge of relevant laws, regulations, and industry standards.
