| SUMMARY: Advises on all aspects of commercial lending, including structuring, negotiating, and drafting loan documents, ensuring regulatory compliance, and managing risk. In addition, advises and trains bankers and internal teams, collaborates with business units, and oversees external counsel on complex matters like workouts, restructurings and syndicated loans. ESSENTIAL DUTIES AND RESPONSIBILITIES: Provides legal guidance on the structuring, negotiation, and documentation of commercial loans, including bilateral, syndicated, and real estate-secured transactions. Prepares and reviews complex loan documents including commitment letters, loan agreements and collateral documentation such as, security instruments, guarantees, intercreditor agreements, and other related documents and/or oversee external counsel related to same. Ensures all lending activities comply with applicable federal, state, and local laws and regulations. Identifies and mitigates legal risks associated with commercial lending activities, including lender liability, regulatory, and operational risks. Advises on and manages defaulted loans, restructures, and restructurings, including negotiating with borrowers and coordinating with internal and external counsel. Partners with business units including Credit, Operations, Risk, Compliance, and Product teams to support transaction execution and strategic initiatives. Oversees and manages relationships with outside law firms, ensuring cost-effective and strategic legal support. Provides legal advice on new lending products, services, and initiatives, ensuring their compliance and market readiness. Trains bankers and other functional partners on legal and regulatory issues and contribute to developing best practices for commercial lending. OTHER REQUIREMENTS: Banking is a highly regulated industry and you will be expected to acquire and maintain a proficiency in the Bank's policies and procedures, and adhere to all laws, rules and regulations that are applicable to your conduct and the work you will be performing. You will also be expected to complete all assigned compliance training in a timely manner. Strong analytical, problem-solving, written and verbal communication skills for clear and concise advice and document creation. Ability to provide clear, sound legal advice to senior management. Proven ability to negotiate and draft complex loan documentation and manage multiple transactions. Familiarity with relevant federal and state lending laws, banking regulations and regulatory enforcement actions. Excellent organization, prioritization, and multitasking skills, practical and effective problem-solving skills, strong analytical, negotiation, and communication skills. Strong ability to work independently and collaboratively in a team environment with internal and external stakeholders. Aptitude to identify and solve complex legal and business problems.
