Financial Transactions - Mid-Level Associate Attorney - New York, Washington, DC, Seattle, San Francisco, or Los Angeles

We are seeking a motivated and detail-oriented Associate Attorney to join our Financial Services Practice Group and represent clients on financial services transactions, with a focus on the payment systems and technology industries. This role offers an exciting opportunity to work with an elite team for a diverse range of top-tier clients, including money center banks, other credit and debit card issuers, FinTechs, and major retailers, on complex and innovative projects. Qualified candidates must have experience with drafting complex commercial agreements. The successful candidate will be prepared to embrace a demanding and challenging position that offers excellent growth potential.

Key Responsibilities:

  • Assist in drafting, reviewing, and negotiating lengthy, complex, technical and non-public commercial agreements, including co-branded and private-label credit card programs, payment processing agreements, technology and licensing agreements and mobile wallet initiatives.
  • Support partners in advising clients in connection with competitive RFPs and transaction structuring.
  • Collaborate with clients to understand their business objectives and provide strategic legal advice to achieve those goals.
  • Conduct legal research and analysis to support client transactions and ensure compliance with applicable laws and regulations.
  • Participate in payments-related M&A transactions, including JV formation and restructuring, secured credit facilities and asset acquisitions/dispositions, by preparing necessary documentation and coordinating with relevant parties.
  • Maintain clear and continuous communication with clients, prioritizing their objectives and providing timely updates on transaction progress.
  • Quickly react and adapt to unexpected developments in transactions, providing innovative solutions to complex legal challenges.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the state bar and in good standing.
  • Three to six years of experience in financial transactions, preferably within the payment systems or technology industries. Experience with complex M&A or credit transactions will also be considered.
  • Strong drafting, negotiation, and communication skills.
  • Ability to work collaboratively in a fast-paced environment and manage multiple priorities effectively.
  • Demonstrated interest in financial technology and emerging payment systems.
  • Excellent analytical and problem-solving abilities.

The annualized salary range for this position in New York, Washington, DC, Seattle, San Francisco, or Los Angeles is $225,000 to $290,000. Actual pay will be adjusted based on the candidate's education, training, experience and other job-related factors permitted by law. Full time employees may be eligible for a bonus and health insurance with an optional HSA, long term disability, dental insurance, vision care, life insurance, Healthcare and Dependent Care Flexible Spending Accounts, 401(k), vacation, sick time, 10 paid holidays each year and an employee assistance program. For full-time employees, the initial sick leave benefit is 80 hours of sick leave per year. Attorneys generally take approximately three weeks of vacation from work each year, and it may vary depending on the needs of the clients and the firm. Additional voluntary benefits programs include: voluntary accident insurance, voluntary life, voluntary disability, voluntary long-term care, and pet insurance. Commuter and Transit programs are also available.
