Job Description We have an exciting opportunity for an Assistant General Counsel at UL Research Institutes and UL Standards & Engagement, based in our Evanston, Illinois, office. As a key member of the Legal team, the Assistant General Counsel reports directly to the Chief Legal Officer and plays an integral role within the UL Research Institutes and UL Standards & Engagement legal team. This position provides legal support to both the UL Research Institutes and the UL Standards and Engagement organizations, collaborating closely with leadership teams across both areas. What you'll learn and achieve: As the Assistant General Counsel, you will play a key role in the rapid growth of UL as you:
Serves as a trusted advisor to business leaders, providing strategic guidance on contracts, cooperation agreements, grant and research agreements, and key initiatives. Advises on corporate governance and compliance matters, including board-related issues and organizational best practices. Provides counsel on corporate maintenance matters for both UL Research Institutes and UL Standards & Engagement organizations, ensuring alignment with legal and regulatory requirements. Advises on executive compensation and benefits, ensuring compliance with relevant laws and organizational policies. Collaborates cross-functionally to resolve complex issues related to projects, contracts, commercial operations, compliance, and other business matters. Conducts research and analysis on legal issues specific to UL's operations, ensuring the company meets its legal obligations. Drafts, reviews, and negotiates transactional and other agreements, ensuring legal and commercial interests are well protected. Leads or participates in special projects that advance corporate strategies and contribute to organizational growth. Stays current with relevant laws and standards, tracking changes and developments to ensure ongoing compliance and organizational adaptation. Develops and implements policies, processes, and controls to ensure UL's global compliance with applicable laws and regulations. Manages legal support for strategic initiatives, coordinating efforts across the UL legal team to provide expert guidance and harmonize solutions to complex legal issues. Consults with internal and external counsel as needed to address legal concerns and ensure comprehensive legal support. Contributes to and/or leads other department specific and cross-functional initiatives.

Professional education and experience requirements for the role include:
Juris Doctor (JD) degreefrom an accredited, top-tier law school. Bar admission in good standing in relevant jurisdiction. 5+ years of relevant legal experience, with a proven track record in corporate law. Experience with a top law firm highly preferred, demonstrating strong foundational expertise in complex legal matters. Experience with corporate governance and handling transactional matters. Preparation and negotiation of corporate and business agreements. Professional legal experience with nonprofit, academic, or research organization is preferred.
